ACME Markets Announces Bid to Purchase 76 A&P Stores

MALVERN, Pennsylvania [July 20, 2015] –ACME Markets announced today it has entered into an agreement to acquire 76 A&P stores in Connecticut, Delaware, Maryland, New Jersey, New York, and Pennsylvania under the A&P, Superfresh and Pathmark banners.

The offer is subject to customary legal and bankruptcy court approvals, following A&P’s Chapter 11 filing on July 19, 2015, including the potential for higher bids to be submitted and anti-trust approval. A&P has asked the court for an order requiring other bidders to submit their bids by September 11, 2015, with an expectation that court approval for the sale of the stores would be received by October 15, 2015.

ACME Markets, a wholly-owned subsidiary of AB Acquisition LLC (Albertsons Companies), operates 107 stores across Pennsylvania, Delaware, Maryland and New Jersey. Since it was acquired by Albertsons in 2013, ACME Markets has improved the customer experience and store performance across the division, deploying its operational playbook to drive sales growth. The transaction, if completed, would expand the ACME Markets footprint in a strategic and vibrant market and build upon A&P’s rich history of delivering quality products and services in the neighborhoods they serve.

RBC Capital Markets is serving as exclusive financial advisor in connection with this transaction. Milbank, Tweed, Hadley & McCloy LLP is serving as lead bankruptcy counsel. Schulte Roth & Zabel LLP is serving as outside legal counsel on antitrust matters. Greenberg Traurig, LLP is serving as outside legal counsel on real estate matters. Citigroup Global Markets Inc. and Bank of America Merrill Lynch provided committed financing in support of the acquisition.

      Yes! We have entered into an agreement, subject to further bidding by other parties in a court approved process and bankruptcy court approval and other conditions, to acquire 76 A&P stores in Connecticut, Delaware, Maryland, New Jersey, New York and Pennsylvania. Nothing is changing right now. It’s business as usual. We’re excited that we’ve got such a positive opportunity in front of us!

    What are the plans for the Pathmark store in Ventnor. People in my coverage area are concerned they will lose the only supermarket on the island. Also, what about the A&P workers. Will Acme hire them or bring in their own staff?

      Hi Nannette, it’s still early in the process and the transaction is still subject to further bidding by other parties in a court approved process and bankruptcy court approval and other conditions. We have no plans to close any stores as a result of the transaction. Right now, it’s business as usual. Thanks.

    hi my mom works at one of the 76 stores that will be taken over by ACME it’s a Pathmart right now.

    Will she get her job back or will she have to re apply for a position at the store she works at at 2102 Cottman Avenue in Philadelphia,PA??

      Hi Frank, the transaction is still subject to regulatory and bankruptcy court approvals in addition to further bidding by other parties, so there’s still a great deal to work out. We will also be meeting with the unions in the coming months to discuss existing contracts. As we have information that we can share as we work through these processes, rest assured we will communicate to the current employees. Thanks for your question.

    Will a me consider putting pharmacies at a and p locations which currently do not have one? Also will existing employees need to reapply for their job?

      Hi Ray, ACME’s goal is always to be the favorite local supermarket in the neighborhood, so any additional services that could be added to a store would be evaluated. Regarding employees, we still have a great deal of planning to do, and the transaction is still subject to legal and customary approvals, but we will update employees as soon as we can. Thanks!

    Theres a bid on both the Pathmark and Superfresh in Newark, DE. Meanwhile there is an existing ACME in Newark now. What would be the plan for the two acquired stores? Would the current ACME close down?

    I work at the A and P in woodcliff lake no body seems to know nothing, what happends to our medical Insurance? we hear Acme is opening on Oct 15 there are a lot of questions employee need to know? Are people going to lose there jobs who worked for a and p and acme will re hire will there be lay off ?Employee need to Know what is going on and need to answer questions for us.

      Hi Camille, ACME intends to hire substantially all employees. ACME has been in negotiations with Local 464 to assume the majority of the A&P contract and recognize the seniority of the employees to continue at their existing wage and health insurance coverage. Thanks for your questions.

      Hello, Marie. All of the closing stores posted signs informing customers to redeem their gift cards by 9/30. If you have a small balance remaining, stop by your new neighborhood ACME and introduce yourself to the Store Director, he or she will attempt to remedy. We hope this helps! -Julio

    We hear there’s an ACME change-over from the Giant Food store in Salisbury, MD coming soon. Can you confirm this for me? Also, will there be a U.S. Bank (bank or ATM) location inside this ACME store?
